These Terms of Business (“Terms”) are established by S Grade LIMITED, a franchisee operating under the cleaning services industry in the United Kingdom, and are intended for all parties including, but not limited to, the Franchisor 1st Online Solutions and any other associated entities. By engaging with us and utilizing our services, you agree to comply with and be bound by these Terms.

  1. Scope of Work
    By accepting these Terms, the party acknowledges that the Franchisee will provide cleaning services in line with the standards and requirements set out by the Franchisor.

  2. Compensation
    The Franchisor, or any other entity seeking our services, agrees to the compensation model detailed on our website or as otherwise agreed in separate written agreements.

  3. Non-Solicitation Clause
    The engaging party acknowledges and agrees:

    a. Upon introduction of any subcontractor by the Franchisee, for a duration of one (1) year from the date of such introduction, neither the Franchisor nor any associated entities will:

    i. Directly or indirectly solicit, engage, or approach said subcontractors for any work-related matters.

    ii. Accept services from said subcontractors if they approach the Franchisor or the associated entities directly.

    b. Any breach of this non-solicitation clause will result in an introduction fee of £25,000, payable immediately by the breaching party to the Franchisee.

  4. Confidentiality
    All parties agree to maintain the confidentiality of all information they are privy to during the execution of their duties, especially pertaining to subcontractor data and business operations.

  5. Governing Law
    These Terms shall be governed by and construed in accordance with the laws of England, United Kingdom.

  6. Amendments
    The Franchisee reserves the right to amend these Terms at any time, and it is the responsibility of all engaging parties to remain updated with the current version. Continued engagement with the Franchisee after any amendments constitutes acceptance of the new Terms.

  7. Entire Agreement
    These Terms represent the entire agreement between the Franchisee and the engaging parties, superseding all prior agreements, understandings, and communications, whether written or oral.
